4. Acceptable Use

Clients using SMS, calling, or automated messaging systems are responsible for obtaining proper customer consent and complying with all applicable communication laws, including TCPA and related regulations.

5. Accounts & Access

You may be required to provide information to access certain services.

You are responsible for:

Maintaining the confidentiality of account credentials

All activities occurring under your account

Ensuring authorized use of connected systems and data

Bo.AI may suspend or terminate access if misuse, abuse, legal risk, security concerns, or violations of these Terms are identified.

6. Payments & Billing

Pricing may vary depending on services, setup requirements, usage, subscriptions, custom agreements, or performance-based arrangements.

By purchasing services, you agree to:

Provide accurate billing information

Authorize payment processing through approved providers

Unless otherwise stated in writing:

Payments are non-refundable

Late or failed payments may result in suspension or termination of services.

7. Intellectual Property

Bo.AI Property

All Bo.AI systems, software, workflows, prompts, automations, branding, website content, designs, and proprietary technology remain the property of Ascend Impact LLC unless otherwise agreed in writing.

Reverse engineer

Reproduce

Redistribute

Exploit

Bo.AI intellectual property without written permission.

Client Content

Clients retain ownership of their own business data, customer information, uploaded materials, and lawful content submitted to Bo.AI.

You grant Bo.AI a limited right to process and use submitted content solely for providing services, automation functionality, support, analytics, and system improvement.

AI Outputs

Subject to applicable law and third-party provider limitations, clients may use AI-generated outputs created for their business operations.

Bo.AI does not guarantee exclusivity, originality, or ownership enforceability of AI-generated content.

8. Third-Party Services

Bo.AI may integrate with or rely on third-party providers, including but not limited to:

Bo.AI is not responsible for outages, actions, errors, policies, or security practices of third-party providers.

9. Service Availability

While Bo.AI aims to provide reliable services, we do not guarantee:

Uninterrupted availability

Error-free operation

Continuous uptime

Lead conversion results

Revenue outcomes

Business performance improvements

Services may be modified, interrupted, suspended, or discontinued at any time.

10. Limitation of Liability

To the maximum extent permitted by law, Ascend Impact LLC and Bo.AI shall not be liable for:

Lost profits

Lost revenue

Lost business opportunities

Data loss

Business interruption

Indirect or consequential damages

AI-generated errors or inaccuracies

Customer communication outcomes

Third-party service failures

Bo.AI’s total liability for any claim related to the services shall not exceed the amount paid by the client to Bo.AI during the three (3) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ascend Impact LLC, Bo.AI, affiliates, contractors, and employees from any claims, liabilities, damages, losses, or expenses arising from:

Your use of the services

Violation of these Terms

Violation of laws or regulations

Improper use of AI systems

Customer communication practices

Unauthorized data use

12. Termination

Bo.AI may suspend or terminate access to services at any time for reasons including:

Nonpayment

Abuse or misuse

Security concerns

Legal or compliance risks

Violations of these Terms

You may stop using the services at any time.

Termination does not eliminate outstanding payment obligations or legal responsibilities accrued before termination.

14. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Texas, United States, without regard to conflict of law principles.
